1. Purpose of the Platform

Kyndlo is a platonic friendship and social wellness platform that helps members discover compatible people, packs, and real-world outings. Kyndlo is intended for friendship, community connection, and social wellness.

Kyndlo is not a dating, romantic, sexual, political, or religious platform. Any use outside this purpose is prohibited.

2. Eligibility

You must be at least 18 years old to use Kyndlo. By creating an account or using the platform, you represent that you meet this requirement and that you have not previously been removed or banned from Kyndlo unless we have given you written permission to return.

We may verify eligibility, restrict access, suspend accounts, or terminate accounts if we believe information is inaccurate or the account creates legal, safety, or community risk.

3. Accounts and Member Responsibilities

You agree to:

• Provide accurate and current account information
• Keep your login credentials secure
• Use Kyndlo only for lawful, platonic, and respectful purposes
• Follow these Terms, our Community Guidelines, and event rules
• Be responsible for all activity under your account

4. Community Standards

Members may not:

• Use Kyndlo for dating, romantic solicitation, sexual content, or sexual advances
• Harass, threaten, bully, stalk, intimidate, or harm others
• Discriminate, promote hate, or target people based on protected characteristics
• Impersonate others, create fake accounts, scam, spam, or misrepresent identity
• Post explicit, violent, illegal, misleading, or harmful content
• Misuse events, disrupt outings, ignore venue rules, or create safety risks
• Use Kyndlo for political advocacy, religious debate, or unrelated solicitation

We may remove content, restrict features, suspend accounts, terminate accounts, or report conduct to law enforcement if we believe a violation, safety risk, or illegal activity has occurred.

5. Organized Outings, Venues, and Assumption of Risk

Kyndlo may suggest, coordinate, or facilitate in-person outings, group activities, and venue-based experiences. Participation is voluntary and involves ordinary social, travel, venue, weather, health, and activity risks.

By joining an outing, you agree to:

• Arrive on time and follow event instructions
• Follow venue rules and applicable laws
• Treat members, hosts, venue staff, and the public respectfully
• Pay any required venue costs not included in your Kyndlo purchase
• Leave an outing if asked by Kyndlo, a host, or venue staff

Kyndlo does not control third-party venues, transportation, weather, public conditions, or other members' conduct. You are responsible for your own safety, choices, belongings, travel, and behavior.

6. Event Changes, Cancellations, No-Shows, and Credits

Kyndlo may cancel, reschedule, modify, or replace an outing because of low attendance, venue issues, safety concerns, weather, host availability, member conduct, or other operational needs.

If Kyndlo cancels an eligible paid outing, we may offer a refund, credit, or replacement outing according to the purchase terms shown at checkout or in the app. If you cancel late, arrive late, do not attend, or are removed for violating our rules, you may not receive a refund or credit.

Event credits have no cash value, are non-transferable, may expire, and may be subject to additional rules shown at checkout or in the app.

7. Purchases, Subscriptions, Billing, and Refunds

Some Kyndlo features, memberships, events, or add-ons may require payment. Prices, renewal terms, cancellation options, and refund rules will be shown at checkout, in the app, or by the third-party payment provider.

Subscriptions may renew automatically until canceled. You are responsible for canceling before the renewal date. Purchases made through Apple, Google, Stripe, or another third-party payment provider may be subject to that provider's additional terms, billing rules, and refund process.

Except where required by law or expressly stated at checkout, payments are non-refundable.

8. Essence, Spirits, Points, Badges, and Virtual Rewards

Kyndlo may offer virtual spirits, Essence, points, badges, levels, cosmetic items, achievements, or other digital rewards to support engagement and spirit evolution.

These features:

• Are for entertainment, engagement, and personalization only
• Have no cash value
• Are not property and do not create ownership rights
• Cannot be sold, transferred, redeemed, exchanged, or cashed out
• May be changed, reset, suspended, removed, or discontinued by Kyndlo
• May be revoked if earned through fraud, abuse, manipulation, or rule violations

Spirit evolution and virtual rewards do not guarantee matches, friendships, events, social status, account access, or real-world benefits.

9. User Content

You keep ownership of content you submit, post, upload, or share through Kyndlo. You are responsible for your content and must have the rights needed to share it.

By submitting content, you grant Kyndlo a non-exclusive, worldwide, royalty-free license to host, use, reproduce, display, distribute, modify, and create derivative works from your content as needed to operate, improve, promote, protect, and moderate Kyndlo.

We may remove content at any time if we believe it violates these Terms, our policies, the law, or the safety of the community.

10. Privacy

Your use of Kyndlo is governed by our Privacy Policy, which explains how we collect, use, disclose, retain, and protect personal information. Please review it carefully.

11. Safety and Moderation

Kyndlo may review content, reports, messages, profiles, event activity, account activity, and safety signals to protect members, enforce these Terms, and improve the platform. We may warn, restrict, suspend, or terminate accounts at our discretion.

Safety tips, prompts, recommendations, or moderation tools are provided for informational and community-protection purposes and do not create a duty to supervise every interaction or guarantee member safety.

12. Termination

You may stop using Kyndlo at any time. We may suspend, restrict, or terminate access if we believe you violated these Terms, created a safety risk, misused the platform, harmed the community, or exposed Kyndlo or others to legal or operational risk.

Termination does not limit any rights or obligations that by their nature should survive, including ownership, licenses, disclaimers, limitation of liability, indemnification, dispute resolution, and payment obligations.

13. Disclaimers

We do not guarantee matches, friendships, event attendance, compatibility, availability, uninterrupted service, user conduct, venue quality, safety outcomes, or a particular social or wellness result.

Kyndlo is a social matching platform and does not provide medical, psychological, legal, or professional advice. Wellness-related activities or recommendations are not a substitute for professional care.

You agree to indemnify and hold harmless Kyndlo, its affiliates, officers, directors, employees, contractors, and partners from claims, damages, losses, liabilities, costs, and expenses, including attorneys' fees, arising from your use of Kyndlo, your content, your conduct, your participation in outings, your violation of these Terms, or your violation of law or third-party rights.

16. Third-Party Services

Kyndlo may include links, integrations, venues, payment processors, map tools, app stores, or other third-party services. We are not responsible for third-party services, content, practices, purchases, transactions, venues, or damages arising from your use of them. Your use of third-party services is subject to their own terms and privacy policies.

17. Intellectual Property

Kyndlo, including our trademarks, logos, designs, text, graphics, software, spirit concepts, and platform content, is owned by Kyndlo or its licensors. You may not copy, reproduce, modify, distribute, sell, or exploit Kyndlo materials without written permission.

If you believe content on Kyndlo infringes your intellectual property rights, contact us at admin@kyndlo.com with enough detail for us to review your request.

18. Dispute Resolution

Please contact us first at admin@kyndlo.com so we can try to resolve concerns informally. If a dispute cannot be resolved informally, disputes may be subject to binding arbitration and a class action waiver to the maximum extent permitted by law.

Any arbitration provision will not prevent either party from seeking emergency injunctive relief, bringing a qualifying small claims matter, or pursuing claims that cannot legally be required to arbitrate.

You and Kyndlo agree to bring claims only on an individual basis and not as a plaintiff or class member in any class, collective, representative, or consolidated action, except where this waiver is prohibited by law.

19. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, unless another law is required to apply. Claims that are legally permitted to be brought in court may be filed in the state or federal courts located in Florida, unless applicable law requires another venue.

20. Changes to These Terms

We may update these Terms from time to time. If changes are material, we may provide notice through the platform, website, or email. Continued use of Kyndlo after updated Terms become effective means you accept the updated Terms.

21. Miscellaneous

These Terms, together with policies incorporated by reference, form the entire agreement between you and Kyndlo regarding the platform. If any provision is found invalid or unenforceable, the remaining provisions will remain in effect. Kyndlo's failure to enforce a provision is not a waiver of that provision.
